01 Agreement to terms
These Terms of Use (“Terms”) govern your access to and use of the website www.synergicsourcing.com and the Synergic Sourcing wholesale-sourcing marketplace (together, the “Service”), operated by Synergic Sourcing (“we,” “us,” or “our”), based in Niagara Falls, New York, USA.
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.
02 Eligibility
The Service is intended solely for business use. By using it, you represent and warrant that you:
- are at least the age of majority in your jurisdiction;
- are using the Service on behalf of a business or in a professional capacity;
- have the authority to enter into these Terms on behalf of that business;
- are not located in, ordinarily resident in, or accessing the Service from any country or region subject to comprehensive government sanctions, and are not listed on any restricted-party or denied-party list; and
- are not otherwise barred from using the Service under any applicable law.
You agree to comply with all export-control, sanctions, customs, and trade laws that apply to your use of the Service and to any goods you source, buy, or sell through it.
03 The service
Synergic Sourcing is a B2B wholesale-sourcing marketplace that connects suppliers with buyers. Suppliers may list products and join free of charge. Buyers purchase a membership to access the buyer catalogue and sourcing features.
We may add, change, suspend, or remove features of the Service at any time. We do not guarantee that the Service, or any particular product, supplier, or buyer, will always be available.
04 Accounts & registration
To access most features, you must create an account and provide accurate, current, and complete information. You agree to:
- keep your account information up to date;
- keep your login credentials confidential and secure;
- be responsible for all activity that occurs under your account; and
- notify us promptly of any unauthorized use or security breach.
We may suspend or terminate accounts that contain false information or that breach these Terms.
05 Memberships, fees & payment
Suppliers
Supplier accounts are currently free. We reserve the right to introduce supplier fees in the future with prior notice.
Buyers
Buyers purchase a membership to unlock the catalogue and sourcing features. The current founding membership is offered at $99, and the standard membership price is expected to be $299 at launch. The exact price, currency, and billing terms applicable to you are those displayed at checkout at the time of purchase.
Payment
Payments are processed securely by Stripe. By submitting payment, you authorize us, through Stripe, to charge the applicable fees to your chosen payment method. You are responsible for any taxes, duties, customs charges, and other government fees that apply to your purchase or to any goods you source, buy, or sell through the Service.
Renewals & cancellation
The buyer membership is a one-time fee, not a recurring subscription — you are charged once at purchase, and there is no automatic renewal or repeating charge. If we introduce recurring plans in the future, we will clearly disclose the renewal terms at checkout before you pay.
Refunds & claims
06 Supplier responsibilities
If you use the Service as a supplier, you agree that you:
- have the right to sell and supply the products you list;
- provide accurate descriptions, pricing, availability, and minimum order details;
- comply with all laws applicable to your products, including safety, labelling, export, and import rules;
- fulfil accepted orders and honour the terms you publish; and
- do not list counterfeit, illegal, or restricted goods.
07 Buyer responsibilities
If you use the Service as a buyer, you agree that you:
- use the catalogue and sourcing features for legitimate business purposes;
- provide accurate information for orders and payments;
- comply with all laws applicable to your purchases, including import and resale rules; and
- do not misuse, copy, scrape, or redistribute catalogue data outside the Service.
08 Acceptable use
You agree not to:
- break any applicable law or infringe anyone’s rights;
- post false, misleading, fraudulent, or harmful content;
- access the Service through automated means, scrape, or harvest data without permission;
- interfere with, disrupt, or attempt to gain unauthorized access to the Service or its systems;
- upload viruses or malicious code; or
- use the Service to send spam or unsolicited communications in violation of anti-spam laws.
09 Listings & content
You retain ownership of the content you submit (such as listings, descriptions, and images). By submitting content, you grant us a worldwide, non-exclusive, royalty-free licence to host, display, and use that content as needed to operate and promote the Service.
You are responsible for your content and confirm you have the rights to share it. We may remove any content that we reasonably believe breaches these Terms or any law.
10 Intellectual property
The Service, including its design, text, graphics, logos, software, and the Synergic Sourcing name and branding, is owned by us or our licensors and is protected by intellectual-property laws. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written permission.
11 Third-party links & dealings
The Service may contain links to, or facilitate dealings with, third parties, including other users. We are not responsible for third-party websites, products, services, or conduct. Any transaction, communication, or dispute you have with another party is solely between you and that party, and you engage at your own risk. We encourage you to perform your own due diligence before transacting.
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us, and you have no authority to bind us in any way.

You agree to indemnify and hold harmless Synergic Sourcing and its representatives from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your breach of these Terms, or your violation of any law or third-party right.
15 Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure, or if we discontinue the Service. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will continue to apply.
16 Changes to terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide notice. Your continued use of the Service after changes take effect means you accept the revised Terms.
17 Governing law & disputes
These Terms are governed by the laws of the State of New York and the federal laws of the United States applicable there, without regard to conflict-of-laws rules.
Before starting any formal proceeding, you agree to first contact us at info@synergicsourcing.com and try, in good faith, to resolve the dispute informally for at least thirty (30) days. If it is not resolved, you agree that the state and federal courts located in New York, USA will have exclusive jurisdiction, and you consent to their jurisdiction and venue — subject to any mandatory consumer-protection rights you may have in your own jurisdiction.
Any claim relating to the Service must be brought within one (1) year after the event giving rise to it; otherwise it is permanently barred, except where applicable law does not allow such a limit.
18 General
- Entire agreement. These Terms, our Privacy Policy, and any terms shown to you at checkout are the entire agreement between you and us regarding the Service, and replace any earlier agreements on the same subject.
- Severability. If any provision is found unenforceable, the rest remain in full effect, and that provision will be enforced to the maximum extent permitted by law.
- No waiver. If we do not enforce a right or provision, that is not a waiver of it.
- Assignment. You may not assign or transfer these Terms without our written consent. We may assign them — for example, in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, government action, or the outage or failure of networks or third-party providers.
- Headings. Section titles are for convenience only and do not affect interpretation.
